Terms of Use
Effective September 2, 2026
These terms are a contract between you and Tidee AI, LLC, a South Carolina limited liability company doing business as Tidee Solutions ("Tidee," "we," "us"). They cover tidee.ai, the Tidee application and its modules (starting with PaidUp), and the emails we send. By using any of them you agree to these terms. If you are using Tidee for a business, you are agreeing on that business's behalf and you confirm you are allowed to.
Our Privacy Policy explains how we handle information and is part of these terms.
1. Who can use Tidee
Tidee is for businesses. You must be at least 18, and you must be using Tidee for a business located in the United States. We do not currently accept customers outside the United States.
2. Some definitions
"Services" means tidee.ai, the Tidee application, every module in it, and related emails and support.
"PaidUp" means the Tidee module that follows up on your unpaid invoices.
"Your Data" means everything you put into the Services or let us pull in from a connected service: your business details, settings, invoices, and the names, addresses, and message history of the people you bill.
"Your Customers" means the people and businesses you invoice and that PaidUp contacts on your behalf.
3. Your account
You sign in with a link we email you, so keep your email account secure. You are responsible for everything that happens under your account. Tell us right away at hello@tidee.ai if you think someone else has access.
Give us accurate information and keep it current. We may suspend an account with information we cannot verify.
4. The waitlist and consulting
Joining the waitlist gets you an email when a spot opens. It does not guarantee a spot or a price.
Consulting engagements are governed by a separate written agreement between us. These terms cover the conversation that leads there and anything on the Services, and the separate agreement governs the engagement itself. Where the two conflict, the separate agreement wins for that engagement.
5. Subscriptions and payment
PaidUp is sold by subscription. Current prices are on tidee.ai and in the app. Subscriptions renew automatically, monthly or yearly depending on the plan you chose, until you cancel.
Billing is handled by Stripe. By subscribing you authorize us to charge your payment method at each renewal. If a charge fails we will tell you and try again; if it keeps failing we may suspend the Services until it is resolved.
You can cancel any time from the billing page. Cancellation stops the next renewal. We do not refund the period you have already paid for, except where the law requires it or we decide to as a courtesy.
Prices may change. We will email you at least 30 days before a price change takes effect on your plan. Prices do not include sales tax; where we are required to collect it, we will add it.
6. Connected services
You may connect QuickBooks Online, Gmail, Square, or other services we support. When you do, you authorize us to access those accounts on your behalf, within the permissions you granted, to provide the Services. Your use of those services is governed by their own terms, and we are not responsible for them. You can disconnect at any time, and the Services will stop reaching that account.
Our use of information from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements.
7. How PaidUp works, and what you are responsible for
PaidUp sends follow-up messages to Your Customers on your behalf, in your name, using templates you approved and rules you set. This part matters, so please read it.
You control it. You choose the tone, the templates, how far PaidUp may escalate, and which invoices and customers it leaves alone. In approval mode, nothing is sent until you approve it. In autopilot, PaidUp sends within the rules you set. Either way the messages are yours.
You are responsible for what is sent. You confirm that every invoice PaidUp works is real and owed, that you have the right to contact each recipient at the address provided, and that the messages, including any late fee language, comply with your agreements with Your Customers and with the law. That includes email laws such as CAN-SPAM, state laws on late fees and interest, and any rules that apply to your industry.
We are not a collection agency. PaidUp helps you send reminders about your own invoices, as you. We do not buy debt, we do not collect on anyone else's behalf, and we do not act as a debt collector. If a debt is disputed, PaidUp stops and hands it back to you. Nothing in the Services is legal, accounting, or financial advice.
No promise of payment. PaidUp improves your odds. It does not guarantee any invoice will be paid, or paid on time.
We may stop a send. We may decline to send, or stop sending, any message that we believe is abusive, deceptive, unlawful, or harmful to our ability to deliver email for everyone. If a recipient asks not to be contacted, bounces permanently, or reports a message as spam, we will stop sending to them and we may keep that address on a suppression list shared across the Services.
Deliverability. Email is imperfect. We are not responsible for messages that are delayed, filtered, or not delivered by systems we do not control.
8. Your Data and Your Customers' data
Your Data is yours. You give us a license to host, copy, process, transmit, and display it only as needed to provide the Services to you and to improve them. We do not sell it, and we do not use Your Customers' information for our own purposes.
You are the party responsible for Your Customers' information. We process it on your instructions, as described in the Privacy Policy. If you need a data processing addendum, email privacy@tidee.ai.
You can export Your Data while you have an account. After your account closes we delete it within 30 days, except what we must keep for billing, disputes, or legal reasons.
9. AI features
Parts of the Services, including the drafting of follow-ups, use AI. AI can be wrong, awkward, or miss context. Review what it produces. You are responsible for anything sent or relied on. We use AI providers under terms that do not allow them to train on Your Data, and we do not train models on it either.
10. Acceptable use
Do not use the Services to send messages to people you have no business relationship with, to harass or deceive anyone, to collect on debts you do not own, to break the law, or to interfere with the Services or anyone else's use of them. Do not try to get around usage limits, reverse engineer the Services, or resell them. Do not upload anything that infringes someone else's rights or contains malicious code.
11. Our intellectual property
We own the Services, including the software, the design, the templates we provide, and the Tidee and PaidUp names and marks. These terms give you a limited, non-exclusive, non-transferable right to use the Services while your account is in good standing. That is all they give you.
If you send us ideas or feedback, we may use them without owing you anything.
12. Early access and changes to the Services
Tidee is young and moving quickly. Features may change, be added, or be removed. Some features may be labeled beta or early access; they may be rough and may go away. We will try to give notice before removing something you rely on.
13. Suspension and termination
You can close your account at any time. We can suspend or terminate your account if you break these terms, if you do not pay, if the law requires it, or if we stop offering the Services. If we terminate for a reason other than your breach, we will refund any prepaid fees for the period after termination.
Sections 8, 11, and 14 through 19 survive termination.
14. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, that any message will be delivered, or that any invoice will be paid.
15. Limitation of liability
To the fullest extent the law allows, Tidee will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of business relationships, arising out of or related to these terms or the Services, even if we were told they were possible.
Our total liability for any claim arising out of or related to these terms or the Services is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you have not paid us anything.
Some states do not allow certain limitations, so some of this may not apply to you.
16. Indemnification
You will defend and indemnify Tidee and its members, managers, and employees against claims, losses, and expenses, including reasonable attorneys' fees, arising from Your Data, the messages sent through your account, your relationship with Your Customers, or your breach of these terms or the law.
17. Governing law and disputes
These terms are governed by the laws of the State of South Carolina, without regard to its conflict of laws rules.
If you have a problem, tell us first at hello@tidee.ai. We will try to work it out within 30 days. If we cannot, any dispute will be brought in the state or federal courts located in Charleston County, South Carolina, and you and we consent to their jurisdiction. Either party may seek an injunction in any court to protect its intellectual property or confidential information.
18. Changes to these terms
We may update these terms. We will post the new version at tidee.ai/terms and update the date at the top. For material changes we will email account holders at least 14 days before they take effect. Continuing to use the Services after that means you accept the new terms.
19. General
These terms and the Privacy Policy are the whole agreement between you and Tidee about the Services, and they replace any earlier agreement. If any part of them is unenforceable, the rest still applies. Our not enforcing something is not a waiver. You may not assign these terms without our consent; we may assign them as part of a sale or reorganization. Neither of us is liable for delays caused by events outside our reasonable control. Notices to you go to the email on your account. Notices to us go to hello@tidee.ai or the address below.
